These Terms of Service govern your access to and use of the website at get-hygeia.com and the services provided by Hygeia ("Hygeia," "we," "us," or "our"). By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use the site or services.
1. Who we are
Hygeia is a provider of done-for-you patient communication automation for dental and medical practices. Our services include automated SMS messaging, AI phone follow-up, and related workflows that help practices follow up with patients. Hygeia is based in Philadelphia, Pennsylvania.
2. Our services
We design, build, manage, and monitor automated communication systems on behalf of client practices. The specific systems, scope, fees, and timelines for any engagement are set out in a separate written proposal or order between you and Hygeia. Where those engagement terms conflict with these Terms, the engagement terms control for that engagement.
We rely on third-party platforms to deliver our services, including but not limited to messaging, telephony, and automation providers. Your use of our services is also subject to the terms and acceptable-use policies of those providers.
3. Eligibility
You must be at least 18 years old and authorized to act on behalf of the practice you represent in order to engage our services.
4. Client responsibilities
If you engage Hygeia, you agree that:
- You will provide accurate information and timely access to the systems and data needed to deliver the service.
- You have obtained, and will maintain, all consents required to contact your patients by SMS and phone, including any prior express consent required under applicable law.
- You are responsible for the accuracy and lawfulness of any patient contact data you provide to us.
- You will use the systems we build only for lawful, non-deceptive communication with your own patients.
5. Messaging and communications
Our systems send SMS and place phone calls to patient contacts supplied or designated by the client practice. Message frequency varies. Recipients can opt out of SMS at any time by replying STOP, and can request help by replying HELP. Message and data rates may apply. Calls placed by our AI phone assistant identify the practice on whose behalf the call is made. We do not use patient contact information collected through these systems to send marketing on behalf of unrelated third parties.
6. Fees and payment
Fees, billing frequency, and any setup charges are described in your engagement terms. Ongoing services are typically provided on a simple monthly basis with no long-term contract, and either party may end the engagement as described in those terms. Fees already paid for a current period are non-refundable unless stated otherwise.
7. No guarantee of results
We work hard to recover appointments and engage patients, but outcomes depend on many factors outside our control, including your patient base, pricing, scheduling, and market. We do not guarantee any specific number of recovered appointments, bookings, reviews, or revenue.
8. Intellectual property
The systems, workflows, prompts, configurations, templates, and documentation we develop, along with all content on this website, remain the property of Hygeia. Upon engagement you receive a limited, non-exclusive right to use the configured systems for your practice for the duration of the engagement. You retain ownership of your own data and patient information.
9. Disclaimers
The website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or free of harmful components.
10. Limitation of liability
To the fullest extent permitted by law, Hygeia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the website or services. Our total liability for any claim relating to the services will not exceed the amount you paid to Hygeia in the three months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Hygeia from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the services, or your failure to obtain required consents to contact your patients.
12. Termination
Either party may end an engagement as described in the engagement terms. We may suspend or end access to the website or services if we reasonably believe you have violated these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Pennsylvania.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Continued use of the website or services after changes take effect constitutes acceptance of the revised Terms.
